These terms and conditions ('Agreement') set a legally binding agreement for your use of our website and services (whether as a business or a designer). By registering on our website and continuing to use our services, you accept these terms and conditions.

Cali Dezigns offers businesses/startups ('Customers', 'You', 'Your', 'They') professional custom logo design services. It also provides a platform for designers ('Designers', 'You', 'Your', 'They') to sell their unused logos. 'User' refers to both customers and designers. These terms apply to all users.

1.1 You must register as a Customer or Designer on our site.

1.2 When registering, you must provide valid information.

2.1 Cali Dezigns offers services to both Customers and Designers.

2.2 For Customers, Cali Dezigns services include custom-designed logos, business cards, letterheads, social covers, flyer designs, T-shirt designs, bag designs, presentations, app home screens, website banners, brand books, web ad designs, signage designs, and car wrap designs via bundles.

2.3 For Designers, our services include the ability to submit unused and unpaid logos to us.

2.4 Works:

• Customers must enter their business details, including company name, slogan (if any), industry, and keywords. Our system will display the best suitable custom-designed logos. You must sign up to continue browsing designs. Select a logo distinct to your brand, then proceed to checkout or order free customization. If you cannot find a suitable logo, you may order a custom logo from our in-house design team.
• Designers must submit their logos for review. After review, our team will decide whether to approve them. Approved logos will be tagged and added to our logo database, becoming searchable. When Customers search for logos for a specific industry and keyword, relevant logos will be displayed.
• There is no direct or one-to-one connection between Customers and Designers.

3.1 Customers will gain rights to the logo upon purchase and cleared payment. We do not offer copyright registration.

3.2 Designers retain rights to their submitted logos until they are purchased. After payment is received, designers will no longer have rights to the sold logos, which will be transferred to the customer via the Cali Dezigns platform.

4.1 Customers acknowledge that we are responsible for design transfers. Once payment is completed, final files will be transferred to you. We guarantee protected delivery of your design.

4.1(a) After delivering the final design files, we are not responsible for any modifications you make to the design.

4.2 Designers acknowledge that payment will be processed and transferred to their accounts within 5 working days.

4.2(a) We make no guarantees regarding the misuse or exploitation of your designs after purchase.

5.1 Once Customers have purchased a logo and made payment, they may reproduce or display the logo.

5.2 If a Designer’s submitted logo is sold, Customers have the right to redesign or use it as their own property without acknowledging the Designer.

6.1 To buy any logo on our site, Customers must pay the price first.

6.2 Designers acknowledge that if their work is sold through Cali Dezigns, they will receive a commission after deduction of our fees.

6.3 We will automatically transfer commissions, ranging from 10% to 40%, to Designers’ accounts.

7.1 Designers acknowledge that by submitting logos to us, they grant us a royalty-free license to use, amend, reproduce, and showcase their logos.

7.2 Customers acknowledge that by purchasing logos from us, they gain the intellectual property rights to those logos.

7.3 In case of any copyright abuse, you agree to report property violations to us and the relevant authorities.

7.4 Designers must give up intellectual property rights after the sale of their work on our site.

8.1 Refunds can be claimed within a limited time period of 3 months, only if:

• The logo is found to be copied or copyrighted to someone else.
• The design is defective or not as shown at the time of purchase.
• A duplicate order was placed in error.

The logo will only be considered defective if the Cali Dezigns Quality Check Team declares it imperfect. A 100% refund will be given to Customers under the above conditions.

8.2 All our custom design packages come with a 100% money-back guarantee. A 100% refund can be claimed by Customers at any time via email, live chat, or phone call before approving initial logo concepts or web mockups of their project if they are dissatisfied with the work. Refunds will be processed within a maximum of 48 working hours, up to 45 days from the project’s initiation. Revisions can also be claimed on any selected concept(s), voiding all means of refunds.

Refund requests will not be considered under the following circumstances:

• A change of mind.
• The withdrawal or retraction of investment by an investor.
• Closure of the business or shop.
• Engagement of external freelancers or designers.
• Participation in logo tournaments or contests.
• A steadfast insistence on replicating designs, which may lead to potential intellectual property rights infringement.
• The creation of designs in accordance with the customer's provided brief or instructions.
• Failure of the customer to complete the provided form.

9.1 All payments will be processed and dealt with in the standard currency, USD $.

9.2 Users may convert the currency after their withdrawal.

9.3 You ('Customers', 'Designers') agree that you are responsible for any taxation on your sale or purchase of logos via the site. Cali Dezigns is not responsible for collecting, remitting, or paying your taxes.

10.1 You agree to provide truthful information about yourself and maintain its accuracy.

10.2 You are responsible for all activities and editing of details in your account.

10.3 You agree to immediately notify Cali Dezigns of any suspicious attempts to use your account.

10.4 Designers may not have or create more than one account.

10.5 Detection of any unauthorized or illegal activity will result in the banning of your account.

10.6 You agree that Cali Dezigns can ban an account upon detection of any scam, spam, or illegal activity. After banning, you will not be able to access your account.

10.7 However, you may request reconsideration. Our team will review and decide whether to approve it.

11.1 You agree not to breach any third-party rights, including trademark, copyright, privacy, or any other proprietary rights that are unlawful, harassing, defamatory, or harmful.

11.2 You comply with applicable privacy laws and data protection laws.

11.3 You agree not to use the site for:

• Uploading malicious computer viruses or software intended to damage site data or systems.
• Forcefully creating burdens on servers.
• Gaining unauthorized access to site data, servers, systems, or services.
• Integrating automated agents, programs, or scripts to create multiple accounts or generate automated requests, searches, queries, or to scrape or mine the database from services.
• Displaying or mirroring the site.

12.1 All designs sold on our site are original and unique.

12.2 Designs are not exclusively sold to you. If you want an exclusive design, additional charges will apply.

12.3 No copyrighted material, content, or designs are published on our site.

12.4 If you believe your content, design, or copyrighted material is being copied on our site, contact us at info@calidezigns.com or use the contact form.

13.1 The usage rights granted to you after agreeing to our terms and conditions have the following restrictions:

• You must not sell, rent, misuse, customize, or exploit the site or services.
• You must not recompile or reverse engineer the site or services.
• You must not access the code or services to create or promote a duplicate product or competitive service.

13.2 Any future updates to the site or services are subject to these terms.

13.3 Cali Dezigns reserves all rights to edit, disable, or discontinue the site at any time.

14.1 By providing feedback, you grant us the right to use it in any manner we find appropriate.

14.2 You agree not to provide confidential or proprietary feedback. Read our Privacy Policy for more details.

15.1 Any changes to this agreement are subject to random revision. If we make significant changes or add new points, we may notify you via email or by posting a notice on our site.

15.2 You are responsible for providing us with a valid email address.

15.3 Continued use of our site and services after changes binds you to the updated terms and conditions.

16.1 This Agreement represents the entire agreement for using our site and services between you and us.

16.2 Any failure by us to exercise or enforce any right or provision of this agreement shall not be considered a waiver of that right or provision.

16.3 The titles in this agreement are for user convenience only and have no legal standing.

16.4 If any provision of this agreement is invalidated, the other provisions will not be affected.

16.5 This agreement, your rights, and responsibilities cannot be assigned, sublet, delegated, or transferred by you without the written permission of Cali Dezigns. Any attempt to do so will be void.

17.3 These trademarks, logos, and services may not be used without our written consent or the consent of the third party that owns them.

18.1 Consent and Usage: By providing your email address and/or mobile phone number, you consent to receive communications from Cali Dezigns, including transactional messages, periodic updates about your service or project, newsletters, and service delivery (e.g., design attachments, project updates, and revision updates).

18.2 Carrier Charges Disclosure: Standard messaging and data rates may apply. Please consult your mobile service carrier for details.

18.3 Stop & Unsubscribe: If you wish to stop receiving emails or mobile communications, you can:

• For emails, click the 'unsubscribe' link at the bottom of any email you receive from us.
• For mobile communications, reply 'STOP', 'Unsub', or 'Unsubscribe' to any SMS message you receive from us. SMS communications will stop immediately.

18.4 Frequency of Communication: We strive to limit the frequency of our communications to a reasonable level. However, exceptions may occur during special project updates or urgent notifications.

18.5 Security of Information: Your email address and mobile phone number will be kept confidential and will not be shared with third parties without your explicit consent, except as required by law.

18.6 Changes to Policy: Cali Dezigns reserves the right to modify this policy at any time. Any changes will be posted on our website, and it is your responsibility to review these changes.
